Business Organizations Dr. Alexander and Dr. Tucker practiced together since 2000. They were board certified anesthesiologist and ran two very successful pain clinics in St. Louis. The joint practice was facilitated through three entities. Pain Relief Clinic Eastside, LLC, Live Pain Free St. Louis. LLC and Pain Free Doctors, LLC. Drs. Alexander and Tucker are the sole members and managers in all three of the entities. The doctors were friends and operated all the LLCS on the basis of an oral agreement, there is no written operating agreement. They would rotate working in the three offices and would also rotate through their individual schedule for surgeries at various local hospitals. In 2011, the doctors had started having some very serious disagreements and finally in 2012 they agreed that they could not practice together and that they would dissolve the LLCS and wind-down the operations. The administrative assistances in the various offices, notified the respective patients that at the end of the year. Dr. Alexander would be handling the Eastside and Live Pain Free, LLC clinics in St. Louis and Dr. Tucker would practice out of the Pain Free Doctors, LLC clinic and open a second office the suburbs of St. Louis.
